These Terms of Use (the “Terms”) constitute a binding legal agreement between BUY FUTURE LLC (“BUY FUTURE,” “we”, “us” or “our”) and any person (“you” or “your”) and cover your use of the sites, products, applications, tools and other services (collectively, the “Services”) provided by BUY FUTURE, including without limitation on www.exploreBUY FUTURE.com and any predecessor or successor websites established by BUY FUTURE which reference the Terms and on BUY FUTURE web, mobile and other applications. Please read these Terms carefully! THEY INCLUDE IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS, AND COVER AREAS SUCH AS WARRANTY DISCLAIMERS, LIMITATIONS OF LIABILITY, THE RESOLUTION OF DISPUTES BY ARBITRATION AND A CLASS ACTION WAIVER.
By using or accessing the Services or authorizing another (including an individual acting as your concierge in accordance with our Concierge Terms) to use or access the Services on your behalf, you're agreeing to these Terms (and that all actions taken by such person on your behalf are deemed to be actions taken by you). If you're using the Services for or on behalf of an organization, you're agreeing to these Terms on behalf of that organization, and you represent and warrant that you can do so. If you don't agree to all the terms in these Terms, you may not use or access the Services.

1. Guests and Merchants
Our Services can help you find and transact with restaurants, bars, wineries or other hospitality venues (each, a “Merchant”). If you are using the Services to transact with Merchants, you are a “Guest.” These Terms are solely between BUY FUTURE and you, our Guest. Merchants are third parties and are not a party to these Terms. A Merchant's use of the Services is governed by a separate contract between BUY FUTURE and each Merchant.
If you use the Services to act as a concierge for or on behalf of a Guest, you're agreeing to these Terms and our Concierge Terms. Your breach of the Concierge Terms is a breach of these Terms.

2. Creating Account(s)
2.1. Signing Up. To use many of the Services, you must first create an account (“Account”). You agree to provide us with accurate, complete and at all times up to date information for your Account. We may need to use this information to contact you.
2.2. Staying Safe. Please safeguard your Account and make sure others don't have access to your Account or passwords and other authentication credentials (collectively, "passwords"). You're solely responsible for any activity on your Account and for maintaining the confidentiality and security of your passwords. We're not liable for any acts or omissions by you or anyone else in connection with your Account. You must immediately notify us by email to privacy@BUY FUTUREhq.com if you know or have any reason to suspect that your Account or passwords have been stolen, misappropriated or otherwise compromised or in case of any actual or suspected unauthorized use of your Account.
2.3. Eighteen And Older. The Services are not intended for and may not be used by anyone under the age of 18. By using the Services, you represent that you're at least 18.

3. Bookings
3.1. Bookings. The Services enable you to make bookings with Merchants (each, a “Booking”). Bookings may consist of: (a) reserving an experience with a Merchant (each, a “Merchant Experience”); (b) placing an order for pick-up or delivery from a Merchant; (c) joining a waitlist for a Merchant Experience with a Merchant; (d) placing or paying for an order with a Merchant in person; or (e) any other kind of booking or purchase made available to you through the Services. To make a Booking with a Merchant, navigate to a Merchant-specific page on the Services (each, a “Merchant Page”), either select your requested experience, place an order or join a waitlist, and then follow instructions to complete your Booking. When you make a Booking, we will send you an email confirmation, including a unique confirmation number. You may be required by a Merchant to present your confirmation number and the credit card you used to make your Booking. If your Booking involves alcohol, you must also present a valid form of identification which shows that you are at least the minimum legal drinking age in the applicable jurisdiction, as required by applicable laws in such jurisdiction.
3.2. Merchant Pricing, Availability and Terms. Each Merchant (not BUY FUTURE) is solely responsible for their Merchant Page, including, without limitation, the price, availability and other details of all Bookings listed by or on behalf of such Merchant. These details may be included on a Merchant Page and be applicable to all Bookings with a Merchant (“General Merchant Terms”) or specifically apply only to a particular Booking and be included as part of the information or explanation for such Booking (“Specific Merchant Booking Terms”). General Merchant Terms and/or Specific Merchant Booking Terms may include additional rules and restrictions related to a Merchant or a particular Booking, including: (a) details about Merchant's cancellation, refund and/or exchange policy/ies; (b) limitations on Merchant seating capacity; (c) limitations on Merchant Experience or other Booking order quantity; or (d) limitations on Merchant's ability to accommodate any dietary or other restrictions related to a Booking. Merchants may change the pricing for and availability of any Booking at any time with or without notice, including adding or removing Booking slots. Merchants may also change General Merchant Terms or Specific Merchant Booking Terms at any time. It is your responsibility to ensure that you have read the General Merchant Terms or Specific Merchant Booking Terms in effect at the time you make your Booking. Before you complete a Booking, you are responsible for reviewing the General Merchant Terms and Specific Merchant Booking Terms then in effect for such Merchant. For example, General Merchant Terms and/or Specific Merchant Booking Terms may disclose that: (i) some Bookings are final, non-refundable, non-transferable and/or non-exchangeable; and (ii) if you do not arrive at the Merchant's location on time or at all or fail to provide advance notice of cancellation of a Booking in accordance with Merchant's cancellation policy, you will be subject tod a no-show or late cancellation fee charged to the payment method used to secure such Booking. By completing a Booking, you agree to any and all General Merchant Terms or Specific Merchant Booking Terms applicable to your Booking. BUY FUTURE shall have no liability whatsoever for any charges made to your debit or credit card for any failure to cancel your Booking or otherwise comply with a Merchant's General Merchant Terms or Specific Merchant Booking Terms.
3.3. Transferability of Bookings. Your Booking may be transferable. You represent and warrant that your transfer of any Booking will comply with applicable laws in your jurisdiction. If you purchase a Booking from someone other than BUY FUTURE, you do so at your own risk. BUY FUTURE is not responsible for forgeries or misrepresentations. Unlawful resale (or attempted unlawful resale), counterfeiting or copying of a Booking is grounds for the seizure and cancellation of such Booking and any other Booking that has been made by you, without compensation to you. In addition, BUY FUTURE reserves the right to restrict or deny Booking purchasing privileges to anyone that BUY FUTURE determines to be, or has been, in violation of these Terms. Because BUY FUTURE does not guarantee the authenticity of Bookings purchased from anyone other than BUY FUTURE (including without limitation to brokers or other BUY FUTURE users), BUY FUTURE recommends that you only purchase Bookings directly through BUY FUTURE. Bookings may not be used for advertising, promotions, contests or sweepstakes without the prior written consent of an authorized representative of BUY FUTURE and the applicable Merchant.

4. Merchants
4.1. Merchant Responsibilities. You hereby acknowledge and understand that each Merchant (and not BUY FUTURE) is solely responsible for all aspects of such Merchant's business and operations, including provision of food, beverages and other aspects of a Booking, service, environment, safety, quality and accuracy.
4.2. Merchant Compliance. You hereby acknowledge and understand that each Merchant (and not BUY FUTURE) is solely responsible and liable for all marketing, selling, pricing, packaging, and provision of any products, services or other Bookings offered to Guests through the Services in compliance with all applicable laws. BUY FUTURE makes no representation or warranty regarding whether a Merchant holds any applicable permit, license, registration or other credential for its business; whether representations by a Merchant are true and accurate; or whether a Merchant complies with applicable laws, and BUY FUTURE is not responsible for the quality of the products or services provided by Merchants.
4.3. Release. Merchants are solely responsible for any and all damages, losses, liabilities, costs, claims, injuries, demands, fines, awards and expenses of any kind (including without limitation reasonable attorneys' fees and costs) (collectively, "Losses") suffered by you as a result of your interaction with or visit to any Merchant or from any Booking, promotion, offer, product or service of any Merchant. You must resolve all disputes directly with Merchant. To the maximum extent permitted by applicable law, you hereby release BUY FUTURE, our affiliates, and our respective officers, directors, employees and agent (collectively, the “BUY FUTURE Parties”) from any and all such Losses. IN CONNECTION WITH THE FOREGOING, IF YOU ARE A CALIFORNIA RESIDENT, YOU HEREBY WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH STATES: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH, IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.” You hereby expressly waive and relinquish all rights and benefits under that section and any law of any jurisdiction of similar effect with respect to the release of any unknown or unsuspected claims you may have against the BUY FUTURE Parties pertaining to the subject matter of this Section 4.3. If you are a resident of the United Kingdom or European Union, this release shall not apply to any damage arising from our willful misconduct or gross negligence, nor shall it apply to damage from injury to life, body or health.

5. Paid Bookings
5.1. Paid Bookings. If you wish to make a Booking which requires payment of money to a Merchant or otherwise requires a debit or credit card to secure such Booking (each, a “Paid Booking”), you will be asked by BUY FUTURE or a third party payment processor to supply payment information (“Payment Information”). You agree that all Payment Information that you provide to BUY FUTURE or such third party will be accurate, current and complete. You agree to pay all Paid Booking charges incurred by you or any users of your Account and/or credit card (or other payment mechanism) at the prices in effect at the time of the purchase or as otherwise agreed by you, including any applicable Merchant Fees, BUY FUTURE Fees and Taxes (as defined below). “Merchant Fees” means any and all service charges or other fees for a particular Paid Booking which are configured and will be received by the Merchant. “BUY FUTURE Fees” means any and all service charges or other fees for a particular Paid Booking which will be received by BUY FUTURE. BUY FUTURE Fees are non-refundable. Merchant Fees and BUY FUTURE Fees will be listed as separate line items during checkout. BUY FUTURE accepts several possible methods of payment to enable you to make a Paid Booking. You represent and warrant that you have the legal right to use any credit card or other payment mechanism used in any Paid Booking. By submitting such Payment Information, you grant BUY FUTURE the right to provide such Payment Information to a third party for the purposes of facilitating the completion of your Paid Booking. Verification of Payment Information may be required prior to the completion of any Paid Booking.
5.2. BUY FUTURE as Payment Collection Agent. Payments you make to a Merchant via the Services may be submitted to BUY FUTURE, and in such event, BUY FUTURE will act as such Merchant's payment collection agent solely for the limited purpose of accepting and processing payments from you. The delivery of your payment to BUY FUTURE (acting as the applicable Merchant's payment collection agent), shall satisfy your obligations to the Merchant. Once such a payment is received by BUY FUTURE on such Merchant's behalf, such Merchant has authorized BUY FUTURE to electronically credit the funds into a bank account designated by such Merchant. In the event that BUY FUTURE does not remit any such amounts, such Merchant will have recourse only against BUY FUTURE and not against you directly.
5.3. Marketplace Facilitator and Taxes. BUY FUTURE may qualify a “marketplace facilitator” in certain jurisdictions. A marketplace facilitator is commonly defined by United States (“U.S.”) state laws as a business that contracts with third party sellers to promote the sale of physical property, digital goods and/or services owned and supplied by a third party through an online website. Where BUY FUTURE is a marketplace facilitator, BUY FUTURE is responsible for calculating, collecting, and remitting sales and use Taxes. BUY FUTURE will charge and collect sales and use tax on taxable transactions and you are responsible for payment of such sales and use tax if charged. . All fees for Paid Bookings (including any applicable Merchant Fees and BUY FUTURE Fees) are exclusive of applicable national, provincial, state, local or other taxes (“Taxes”), unless explicitly stated otherwise.

6. Privacy Policy
By using the Services, you confirm that you have read and understood our Privacy Policy. However, it is not a contractual document and does not form part of your agreement with BUY FUTURE and we may change it from time to time.

7. Third Party Services and Merchant Pages
7.1. Third Party Services. The Services (including Merchant Pages) may link to or be integrated with various third party websites, services or applications (collectively, “Third Party Services”) that may make their content, products or services available to you. Merchant Pages often include links to Third Party Services related to that specific Merchant. Examples of Third Party Services include articles about a Merchant, a Merchant's website, articles about the hospitality industry, and payment processors. If you click on a link to a Third Party Service, you may leave the Services and go to the Third Party Service you selected. These Third Party Services may have their own terms and policies, and your use of them will be governed by those terms and policies. We don't control Third Party Services, and we're not liable for Third Party Services, for any transaction you may enter into with them, or for what they do.
7.2. Content. The Services (including Merchant Pages) may contain content, including without limitation text, photos, images, music, audio, videos, logos and associated materials (“Content”) of a Merchant (“Merchant Content”) and/or potential Merchant Experiences: (a) which are offensive or objectionable; (b) which contain errors; or (c) the downloading, copying or use of which is subject to additional terms and policies of third parties or is protected by intellectual property, trade secret, privacy or other laws. BUY FUTURE is not responsible for any Merchant Content or Merchant Experiences.
7.3. No Endorsement. Descriptions or images of, or references to, Third Party Services or Merchant Experiences from the Services do not imply BUY FUTURE's endorsement thereof. BUY FUTURE does not provide, endorse or guarantee any Third Party Service or Merchant Experience. Merchants are third parties and BUY FUTURE is not affiliated with any Merchant nor is BUY FUTURE responsible for Merchant Content or Merchant Experiences. By operating the Services, we don't represent or imply that we endorse Merchant Content or Merchant Experiences, or that we believe such Merchant Content or Merchant Experiences (nor any descriptions or images thereof, or references thereto) to be accurate, complete, reliable, current, lawful or non-harmful. We're not a publisher of, and we're not liable for, any Merchant Content uploaded, posted, published or otherwise made available on a Merchant Page.

8. Intellectual Property & Services Restrictions
8.1. Use of the Services. We grant you permission to use the Services solely as set forth in these Terms. Without the prior written consent of a duly authorized representative of BUY FUTURE, you agree not to: (a) copy or distribute any part of the Services in any medium; (ii) alter or modify any part of the Services other than as may be reasonably necessary to use the Services for their intended purpose; or (c) dissemble, decompile or reverse engineer any part of the Services.
8.2. Ownership of the Services. Except for Merchant Content, the Services are owned by BUY FUTURE, and are protected by copyright, trade secret, trademark and other U.S. and foreign laws. These Terms don't grant you any right, title or interest in the Services, Merchant Content, BUY FUTURE trademarks, logos or other Content, brand features or intellectual property or trade secrets. You agree not to change, modify, translate or otherwise create derivative works of the Services or any Content thereon (including Merchant Content).
8.3. User Content. The Services may permit you to submit, transmit, post or otherwise provide content, including, but not limited to, reviews, comments, ratings, photos, images, videos, sounds, text, data, links and location information (“User Content”). Any such User Content must not: (a) be illegal, threatening, obscene, racist, defamatory, libelous, pornographic, infringing of intellectual property rights, promoting of illegal activity or harm to groups and/or individuals, invasive of a third party's publicity or privacy rights, purposely false or otherwise injurious to third parties, or objectionable; or (b) consist of or contain software, computer viruses, commercial solicitation, political campaigning, chain letters, mass mailings, any form of “spam” or references to illegal activity, malpractice, purposeful overcharging, false advertising, or health code violations (e.g., foreign objects in food, food poisoning, etc.). Your User Content should be unbiased and objective. You may not submit reviews, comments or ratings for which you are being compensated in any manner, or for your own restaurant or any restaurant of your employer, friend, relative or a competitor. You may not use a false email address, impersonate any person or entity, or otherwise mislead as to the origin of User Content. The name or handle you choose to provide to BUY FUTURE may be displayed publicly with such User Content. BUY FUTURE reserves the right (but has no obligation) to monitor, remove, or edit User Content in BUY FUTURE's sole discretion, including if User Content violates these Terms, but you acknowledge that BUY FUTURE may not regularly review submitted User Content. If you do submit User Content, and unless we indicate otherwise, you grant BUY FUTURE a nonexclusive, perpetual, royalty-free, irrevocable, and fully sublicensable (through multiple tiers, including to restaurants, partners and other third party websites and feeds) right to use, modify, reproduce, adapt, translate, publish, create derivative works from, distribute, display, and otherwise exploit such User Content throughout the world in any media, and, where applicable, you hereby waive any privacy or publicity rights or any similar rights in an individual's name or likeness in addition to any moral or other rights you may have in the User Content you submit, in favor of BUY FUTURE. You represent that you own, or have the necessary permissions to use and authorize the use of User Content as described herein. BUY FUTURE takes no responsibility and assumes no liability for any User Content submitted by you or any other User or third party, nor do we guarantee any confidentiality with respect to User Content.
8.4 Do Not Crawl the Services. Robots, spiders, scripts, scrapers, crawlers, and all similar technologies are strictly prohibited. You agree not to use or provide software (except for general purpose web browsers and email clients, or software expressly licensed by BUY FUTURE) or services that circumvent, interact, or interoperate with our Services in ways that are prohibited by these Terms. The use by you, or anyone authorized by you, of machines, computers, scripts or any automated system on the Site is strictly prohibited and may result in criminal liability under the Computer Fraud and Abuse Act, Section 1030 of the U.S. Code and/or under applicable laws in other jurisdictions.
8.5 Feedback. We welcome your feedback, ideas or suggestions (collectively, “Feedback”), but you agree that we may use your Feedback without any restriction or obligation to you, even after these Terms are terminated. This Section does not limit or affect any rights you may have under applicable data protection laws.
8.6 Other Services Restrictions. You agree not to: (a) use the Services for any unauthorized purpose including collecting or harvesting any information about BUY FUTURE or our Merchants or Guests, by electronic or other means, for any purpose, including without limitation to send unsolicited email or other electronic communications or engage in unauthorized framing of, or linking to, the Services without our express written consent; (b) use the Services in a way which attempts to: (i) impersonate any other person or entity; (ii) sell or let others use your profile or password; (iii) provide false or misleading identification or similar information; or (iv) invade the privacy or violate the personal or proprietary right of any person or entity; or (c) use the Services in a way which might inhibit other Guests from using or enjoying the Services or making a Booking. Furthermore, you represent and warrant that your use of the Services is in compliance with applicable laws, including without limitation applicable export or import controls and regulations and sanctions.

9. Important Things We Can Do. We reserve these rights, which we may exercise at any time and in our sole discretion, and without liability or notice to you (except where prohibited by applicable law): (a) we may change parts or all of the Services and their functionality; (b) we may suspend or discontinue parts or all of the Services; (c) we may terminate, suspend, restrict or disable your access to or use of parts or all of the Services; (d) we may terminate, suspend, restrict or disable access to your Accounts or parts or all of your Bookings; (e) we may honor or impose conditions on the honoring of any coupon, coupon code, promotional code or other similar promotions; (f) we may bar any Account from making any or certain Bookings; (g) we may refuse to provide any Account from making a particular Booking; and (h) we may change our eligibility criteria to use the Services (and if such eligibility criteria changes are prohibited by law where you reside, we may revoke your right to use the Services in that jurisdiction).

10. Term and Termination. This Agreement will remain in effect until terminated by either you or us, and you agree that BUY FUTURE shall not be liable to you or any third party for any such termination. You may terminate this Agreement at any time via the Services. We reserve the right to change, suspend or discontinue, or terminate, restrict or disable your use of or access to, parts or all of the Services or their functionality at any time at our sole discretion and without notice. For example, we may suspend or terminate your use of part or all of the Services if you violate these Terms. We will endeavor to provide you reasonable notice upon suspending or terminating part or all of the Services. We also reserve the right to remove any Merchants from the Services at any time at our sole discretion. In the unlikely event of any such removal, we may need to cancel any Bookings you made with such Merchants. We will notify you of any such cancellations. All sections of this Agreement that by their nature should survive termination shall survive termination, including without limitation the following sections in these Terms and any similar sections or provisions in the rest of this Agreement: Bookings, Merchants, Paid Bookings, Release, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution and Additional Terms.

11. Disclaimers. To the fullest extent permitted by applicable law, BUY FUTURE makes no warranties, either express or implied, about the Services, any Merchant Content or User Content thereon or any Merchant. The Services and all Merchant Content or User Content thereon are provided “as is” and “as available.” BUY FUTURE also disclaims any warranties of merchantability, fitness for a particular purpose and non-infringement. No advice or information, whether oral or written, obtained by you from BUY FUTURE, shall create any warranty. BUY FUTURE makes no warranty or representation: (a) about the accuracy or completeness of the Services or any Merchant Content or User Content thereon; or (b) that the Services or any Merchant Content or User Content thereon will: (i) be timely, uninterrupted or error-free; (ii) meet your requirements or expectations; or (iii) be free from viruses or other harmful components.

12. Limitation of Liability. You acknowledge and agree that to the fullest extent permitted by applicable law, in no event will the BUY FUTURE Parties be liable with respect to any claims arising out of or related to the Services or this Agreement for: (a) any indirect, special, incidental, exemplary, punitive or consequential damages; (b) any loss of profits, revenue, data, goodwill or other intangible losses; (c) any Losses (as defined below) related to your access to, use of or inability to access or use parts, some or all of your Account, your Bookings or parts or all of the Services, including without limitation interruption of use or cessation or modification of any aspect of the Services; (d) any Losses related to unavailability, degradation, loss, corruption, theft, unauthorized access or, unauthorized alteration of, any content, information or data; (e) any Merchant Content or other conduct or content of any user or third party using the Services, including without limitation defamatory, offensive or unlawful conduct or content; or (f) any Third Party Services or third party sites accessed via the Services. These limitations apply to any theory of liability, whether based on warranty, contract, tort, negligence, strict liability or any other legal theory, whether or not BUY FUTURE has been informed of the possibility of such damage, and even if a remedy set forth in this Agreement is found to have failed its essential purpose. To the fullest extent permitted by applicable law, in no event shall the aggregate liability of BUY FUTURE for all claims arising out of or related to the Services and this Agreement exceed the greater of twenty dollars ($20) or the amounts paid by you to BUY FUTURE, whether directly, or acting as payment collection agent on behalf of one or more Merchants, in the three (3) months immediately preceding the event that gave rise to such claim.

13. Indemnification. To the fullest extent permitted by law, you agree to indemnify and hold harmless BUY FUTURE and its affiliates and its and their directors, officers, employees and agents from and against all Losses arising out of or related to: (a) your violation of these Terms; (b) your use and access of the Services or any Content thereon; or (c) your violation of any law or regulation or the rights or good name of any third party. BUY FUTURE shall have the right, but not the obligation, to participate in the defense of such actions with the counsel of its choosing. Your indemnification obligations under this Section shall not apply to the extent directly caused by our breach of this Agreement.

14. Dispute Resolution
14.1. Informal Resolution. Before filing a claim against BUY FUTURE, you agree to try to resolve the dispute by first emailing _________________________________  with a description of your claim and proof of your relationship with BUY FUTURE. We'll try to resolve the dispute informally by following up via email, phone or other methods. If we can't resolve the dispute within sixty (60) days of our receipt of your first email, you or BUY FUTURE may then bring a formal proceeding.
14.2. Arbitration Agreement.
14.2.1. Unless you opt-out during the Opt-Out Period in accordance with Section 14.3, you and BUY FUTURE agree to resolve any claims, disputes and matters arising out of or in connection with these Terms (including without limitation its existence, formation, operation and termination) and/or the Services (including without limitation non-contractual disputes and matters) through final and binding arbitration and you and BUY FUTURE expressly waive the right to formal court proceedings ( including without limitation trial by jury), except as set forth in this Section. Discovery and rights to appeal in arbitration are generally more limited than in a lawsuit, and other rights that you and we would have in court may not be available in arbitration. There is no judge or jury in arbitration, only an experienced, independent third party that will act as the arbitrator, and court review of an arbitration award is limited.
14.2.2. The arbitrator shall be empowered to grant whatever relief would be available in a court under law or in equity. The arbitrator further has the right to impose sanctions, in accordance with the NAM Rules (as defined below), including for: (a) any frivolous claims or submissions the arbitrator determines have not been filed in good faith; or (b) a party's failure to comply with this Section 14. For avoidance of doubt, the right to impose sanctions includes the right to shift arbitration fees if permitted by the NAM Rules.
14.2.3. Any arbitration demand or counterclaim asserted by either party must contain sufficient information to provide fair notice to the other party of the asserting party's identity, the claims being asserted and the factual allegations on which those claims are based, and must include proof that the claimant is party to these Terms. The arbitrator may require amendment of any demand or counterclaim that does not satisfy these requirements. The arbitrator has the right to impose sanctions for any claims the arbitrator determines to be frivolous or improper (under the standard set forth in Federal Rule of Civil Procedure 11 and any similar standards in other jurisdictions), including for any claim filed on behalf of a claimant who is not a party to these Terms.
14.3. Arbitration Opt-Out. Your email must be sent from the email address you use for your Account, and must include your full name, residential address and a clear statement that you want to opt out of arbitration. If you opt out of arbitration pursuant to this Section 14.3, then Sections 14.2, 14.4, 14.5 and 14.6 of these Terms do not apply to you. This opt-out doesn't affect any other sections of the Terms, including without limitation Sections 14.8 (Time for Filing), 14.9 (No Class Actions) and 15 (Controlling Law; Judicial Forum for Disputes). 14.4. Arbitration Time For Filing. Any arbitration must be commenced by filing a demand for arbitration within one (1) year after the date the party asserting the claim first knows or reasonably should know of the act, omission or default giving rise to the claim. 14.5. Arbitration Procedures. The arbitration will be administered by National Arbitration and Mediation (“NAM”) and resolved before a single arbitrator. If NAM is not available to arbitrate, you and BUY FUTURE will mutually agree on an alternative arbitration provider. Except as modified by this Section 14, NAM will administer the arbitration in accordance with its dispute resolution rules and procedures in effect at the time any demand for arbitration is filed (the “NAM Rules”), including without limitation NAM's Comprehensive Dispute Resolution Rules and Procedures, the Mass Filing Dispute Resolution Rules and Procedures and any other rules and procedures relating to mass arbitration filings, but excluding any rules or procedures governing or permitting class or representative actions. The NAM Rules are available at www.namadr.com or by emailing National Arbitration and Mediation's Commercial Dept at commercial@namadr.com. Each party is responsible for its own attorneys' fees, except to the extent otherwise provided by the NAM Rules, the arbitrator and/or applicable law. The arbitrator must follow these Terms and can award the same damages and relief as a court (including without limitation reasonable attorneys' fees and costs), except that the arbitrator may not award declaratory or injunctive relief benefiting anyone but the parties to the arbitration. Judgment upon the award rendered by such arbitrator may be entered in any court of competent jurisdiction. The “arbitrator” as used in this Section 14 shall be understood to include NAM. You and BUY FUTURE agree that: (a) these Terms affect interstate commerce, so the US Federal Arbitration Act (“FAA”) and federal arbitration law apply and govern the interpretation and enforcement of this Section 14 (despite Section 15 below); and (b) any arbitration hearings shall occur at a location to be agreed upon in New York, New York, be administered by NAM in English, and shall be settled by one (1) commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes, who shall be selected from the appropriate list of NAM arbitrators in accordance with the NAM Rules.
14.5.1. No Class or Consolidated Arbitration Absent Written Consent. Except to the extent BUY FUTURE in our sole discretion consents in writing, BUY FUTURE does not agree or consent under any circumstances to class arbitration, private attorney general arbitration, or arbitration involving joint or consolidated claims.
14.5.2. Severability of Claims. If there is a final judicial determination that precludes enforcement of this Section 14's limitations as to a particular claim, remedy, or request for relief, then such claim, remedy, or relief (and only such claim, remedy, or relief) must be severed from the arbitration and may be sought in court. The parties agree, however, that any adjudication of any remaining claims, remedies, or relief not subject to arbitration shall be stayed pending the outcome of any arbitrable claims and remedies. This Section 14.5.2 does not prevent you or BUY FUTURE from participating in a class-wide settlement of claims.
14.6. Arbitration Fees. The NAM Rules will govern payment of all arbitration fees. We won't seek our attorneys' fees and costs in arbitration unless the arbitrator determines that your claim is frivolous. You and BUY FUTURE agree that NAM has discretion where it deems appropriate to reduce the amount or modify the timing of any administrative or arbitration fees due under the applicable NAM Rules, provided that such modification does not increase the costs to you, and you further agree that you waive any objection to such fee modification. You and BUY FUTURE also agree that a good faith challenge by either party to the fees imposed by NAM does not constitute a default, waiver, or breach of this Section 14 while such challenge remains pending before an arbitrator and/or a court of competent jurisdiction, and that any and all due dates for those fees shall be tolled during the pendency of such challenge.
14.7. Exceptions To Arbitration Agreement. Notwithstanding anything in these Terms, either you or BUY FUTURE may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the Services, or intellectual property infringement or misappropriation (for example, trademark, trade secret, copyright or patent rights) without first engaging in arbitration or the informal dispute resolution process described above. Either you or BUY FUTURE may assert claims, if they qualify, in small claims court in New York,New York or any US county where you reside or work.
14.8. Time For Filing. Any claim not subject to arbitration must be commenced within one (1) year after the date the party asserting the claim first knows or reasonably should know of the act, omission or default giving rise to the claim. If applicable law prohibits a one (1) year limitation period for asserting claims, any claim must be asserted within the shortest time period permitted by applicable law.
14.9. NO CLASS ACTIONS. You may only resolve disputes with us on an individual basis, and may not bring a claim as a plaintiff or a class member in a class, collective, consolidated or representative action. Class actions, class arbitrations, collective actions, private attorney general actions and consolidation with other arbitrations aren't allowed, except to the extent BUY FUTURE in our sole discretion consents in writing pursuant to Section 14.5.1.

15. Controlling Law; Judicial Forum for Disputes. These Terms (including their existence, formation, operation and termination) and the Services as well as all disputes and matters arising out of or in connection with these Terms and the Services (including non-contractual disputes and matters) shall be governed in all respects by the laws of the State of New York, without regard to its conflict of law provisions, except that the FAA shall prevail to the extent that there exists any conflict between the FAA and the laws of the State of New York with respect to Section 14. If Section 14 is found not to apply to you or your claim, or if you opt out of arbitration pursuant to Section 14.3, you and BUY FUTURE agree that any judicial proceeding (other than small claims actions) arising out of or in connection with these Terms (including its existence, formation, operation and termination) and/or the Services (including non-contractual disputes and matters) must be brought exclusively in the federal or state courts of New York County, New York and you and BUY FUTURE consent to venue and personal jurisdiction in such courts.

16. Additional Terms
16.1. Our Mobile Apps. You acknowledge that these Terms are a binding legal contract between you and BUY FUTURE only, and not with a mobile app store company such as Apple Inc. or Google LLC, and that BUY FUTURE and not such app store company, is solely responsible for the Services and the content and support thereof.
16.2. Electronic Communications. BUY FUTURE will communicate with you by electronic means, including without limitation via email, text or push notification. You hereby agree that all notices, disclosures, agreements and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
16.3. Entire Agreement. These Terms constitute the entire agreement between you and BUY FUTURE regarding the subject matter of these Terms, and supersede and replace any other prior or contemporaneous agreements, or terms and conditions applicable to the subject matter of these Terms. You agree that you have not relied upon, and have no remedies in respect of, any term, condition, statement, warranty or representation except those expressly set out in these Terms. You also may be subject to additional terms, policies or agreements that may apply when you use other services, including Third Party Services. These Terms create no third party beneficiary rights, and no third party shall have any right or standing to claim benefit or bring an action to enforce these Terms (except as expressly contemplated herein or otherwise agreed upon in additional terms between you and a BUY FUTURE affiliate that sets forth such BUY FUTURE affiliate's third party beneficiary rights to enforce these Terms). writing.
16.4. Waiver, Severability And Assignment. Our failure or delay to enforce any provision of these Terms is not a waiver of our right to do so later. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect and an enforceable term will be substituted reflecting our intent as closely as possible. You may not delegate, transfer or assign these Terms or any of your rights or obligations hereunder without our prior written consent, and any such attempt will be of no effect. We may delegate, transfer or assign these Terms or some or all of our rights and obligations hereunder, in our sole discretion, to any of our affiliates or subsidiaries or to any purchaser of any of our business or assets associated with the Services, with thirty (30) days prior written notice.
16.5. Modifications. We may modify these Terms from time to time, and will post the most current version on our site. If a modification meaningfully reduces your rights, we'll notify you (by, for example, sending you an email or displaying a prominent notice within the Services). The notice will designate a reasonable period after which the new terms will take effect. Modifications will not apply retroactively. By continuing to use or access the Services after any modifications come into effect, you agree to be bound by the modified Agreement and price changes. If you disagree with our changes, then you must stop using the Services and cancel all Bookings.
16.6. Events Beyond Our Control. We are not in breach of these Terms or liable to you if there is any total or partial failure of performance of the Services resulting from any act, circumstance, event or matter beyond our reasonable control. This may include where such results from any act of God, fire, act of government or state or regulation, war, civil commotion, terrorism, pandemic, insurrection, inability to communicate with third parties for whatever reason, failure of any computer dealing or necessary system, failure or delay in transmission of communications, failure of any internet service provider, strike, industrial action or lock-out or any other reason beyond our reasonable control.
16.7. Translation. These Terms were originally written in English. We may translate these Terms into other languages. In the event of a conflict between a translated version and the English version, the English version will control except where prohibited by applicable law.

a) Easy registration and store information management: Business owners can easily input their store's location, operating hours, main services, and other relevant information. This information is automatically displayed to app users, providing opportunities to reach more potential customers.
b) Coupon registration and distribution: Business owners can easily register special discount coupons or promotions, offering more benefits to customers. Registered coupons are delivered to app users in real-time, serving as a powerful tool to drive customer traffic.
c) Reservation management system: The BUY FUTURE app provides a reservation feature that allows business owners to check and manage customer reservations in real-time. Reservation status can be easily checked through the app anytime, anywhere, helping to facilitate smoother communication with customers. (This feature can be activated or deactivated in the settings.)

a) Your violation of these Terms b) Your use of the Services, including, but not limited to, your User Content, any use of the Services' content, services, and products other than as expressly authorized in these Terms c) Your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right

• Modifications to the Services
9.1 Changes to the Services
We reserve the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them.
9.2 Service Change Procedure
When significant changes are made to main functions, usage conditions, fees, or other important matters:
a) We will notify users of the changes and reasons in advance. b) Advance notice will generally be given at least 7 days before the changes take effect.

• Termination
10.1 Termination by You
You may terminate your account and discontinue use of the Services at any time by following the instructions in your account settings or by contacting us.
10.2 Termination by Us
We may terminate or suspend your access to all or part of the Services, without notice, for any conduct that we, in our sole discretion, believe violates these Terms or is harmful to other users of the Services, us, or third parties, or for any other reason.
10.3 Effect of Termination
Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

• Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or related to them, their subject matter, or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to any choice or conflict of law provision or rule.
Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of New York, in each case located in the City of New York, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.

• Dispute Resolution
12.1 Informal Dispute Resolution
To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms or the Services (each a "Dispute" and collectively, "Disputes"), you and Buy Future Inc. agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating any arbitration or court proceeding.
12.2 Binding Arbitration
If you and Buy Future Inc. are unable to resolve a Dispute through informal negotiations, all claims arising from use of the Services shall be finally and exclusively resolved by binding arbitration. Any election to arbitrate by one party shall be final and binding on the other. The arbitration will be conducted under the rules of JAMS that are in effect at the time the arbitration is initiated (referred to as the "JAMS Rules") and under the rules set forth in these Terms. If there is a conflict between JAMS Rules and the rules set forth in these Terms, the rules set forth in these Terms will govern.
12.3 Arbitration Procedures
The arbitration shall be conducted by a single, neutral arbitrator. The arbitrator shall be selected in accordance with the JAMS Rules. The arbitration shall be conducted in the English language and the seat of arbitration shall be New York City, New York.
The arbitrator will have exclusive authority to resolve any dispute relating to arbitrability and/or enforceability of this arbitration provision, including any unconscionability challenge or any other challenge that the arbitration provision or the agreement is void, voidable, or otherwise invalid.
12.4 Class Action Waiver
ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS, AND CLAIMS OF MORE THAN ONE CUSTOMER OR USER CANNOT BE ARBITRATED OR LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER OR USER.
12.5 Exceptions to Arbitration
Notwithstanding the foregoing, either party may bring an individual action in small claims court. Additionally, nothing in this arbitration agreement will preclude either party from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.

• MiscellaneousM
13.1 Entire Agreement
These Terms, our Privacy Policy, and any other policies or guidelines posted by us on the Services constitute the entire agreement between you and Buy Future Inc. regarding the Services.
13.2 Waiver and Severability
No waiver by Buy Future Inc. of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Buy Future Inc. to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
13.3 Assignment
These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you but may be assigned by Buy Future Inc. without restriction.

• Business User Features
14.1 Store Registration
Business users can register their store information on the BUY FUTURE app. By registering your store, you represent and warrant that:

14.2 Coupon Creation and Management
Business users can create and manage coupons through the app. You are solely responsible for the accuracy and legality of any coupons or promotions you offer. We reserve the right to remove any coupons that violate these Terms or any applicable laws.
14.3 Reservation System
If you choose to use the reservation management system, you agree to:
a) Accurately maintain your availability and reservation slots b) Honor reservations made through the app c) Promptly communicate any changes or cancellations to users who have made reservations
14.4 Compliance with Laws
Business users are responsible for ensuring that their use of the Services, including any promotions or offers made through the app, complies with all applicable laws, regulations, and industry standards.

• Marketplace Rules
15.1 Second-hand Goods Listings
When listing items for sale in the second-hand goods marketplace, you agree to:
a) Provide accurate and detailed descriptions of the items b) Set fair and reasonable prices c) Respond promptly to inquiries from potential buyers d) Honor the terms of any sales agreements made through the app
15.2 Prohibited Items
The following items are prohibited from being listed or sold through the Services:
a) Illegal goods or services b) Counterfeit or unauthorized replica items c) Hazardous or dangerous materials d) Items that infringe on intellectual property rights e) Firearms, weapons, or explosives f) Drugs or drug paraphernalia g) Adult content or services h) Personal information or data
15.3 Transaction Safety
We strive to provide a safe environment for transactions, but we do not guarantee the quality, safety, or legality of items listed or the truth or accuracy of users' content or listings. You are responsible for evaluating the safety and appropriateness of any transaction.

• Community Guidelines
16.1 Open Chat Rooms
When creating or participating in open chat rooms, you agree to:
a) Respect other users and their opinions b) Refrain from posting offensive, harmful, or inappropriate content c) Not use the chat rooms for spam, advertising, or other commercial purposes without our prior written consent d) Report any abusive or inappropriate behavior to us
16.2 Language and Content
While we encourage diverse discussions, you must ensure that your communications in the open chat rooms do not violate these Terms or any applicable laws. We reserve the right to remove any content or terminate access to chat rooms for users who violate these guidelines.

• Job Listings and Applications
17.1 For Employers
When posting job listings, you agree to:
a) Provide accurate and complete information about the position and your company b) Comply with all applicable labor laws and regulations c) Not discriminate against applicants based on protected characteristics d) Respond to applications in a timely and professional manner
17.2 For Job Seekers
When applying for jobs through the Services, you agree to:
a) Provide accurate information about your qualifications and experience b) Apply only for positions for which you are genuinely interested and qualified c) Respect the privacy and confidentiality of any information provided by potential employers
17.3 Short-term and Gig Work
For short-term job opportunities (e.g., babysitting, pet-sitting, gardening), both parties agree to clearly communicate expectations, rates, and any specific requirements before entering into an agreement.

• Payment and Refund Policies
18.1 Fees and Payments
We may offer certain premium features or services for a fee. If you choose to use these premium features, you agree to pay all applicable fees as described on the Services. All fees are non-refundable unless otherwise stated.
18.2 Payment Methods
We may use third-party payment processors to bill you through a payment account linked to your account on the Services. The processing of payments will be subject to the terms, conditions, and privacy policies of the payment processor in addition to these Terms.
18.3 Subscription Services
For any subscription-based services, you acknowledge that your subscription will automatically renew unless you cancel it at least 24 hours before the end of the current period. You authorize us to charge your payment method for the subscription fees at the then-current rates.
18.4 Refund Policy
Given the nature of digital content, we generally do not offer refunds. However, we may make exceptions in certain circumstances, such as technical issues preventing access to purchased content. Refund requests will be evaluated on a case-by-case basis.

• International Use
The Services are controlled and operated from the United States and are not intended to subject us to the laws or jurisdiction of any state, country, or territory other than that of the United States. We do not represent or warrant that the Services or any part thereof are appropriate or available for use in any particular jurisdiction. Those who choose to access the Services do so on their own initiative and at their own risk, and are responsible for complying with all local laws, rules, and regulations.

We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date at the top of these Terms.

BUY FUTURE LLC (“BUY FUTURE”, “we”, “us” or “our”) respects your privacy. When it comes to your personal information, we believe in transparency, not surprises. That's why we've set out here what personal information we collect, what we do with it and your choices and rights.
By using any of BUY FUTURE's Services, you confirm you have read and understood this Privacy Policy and our Cookie Policy.
Certain jurisdictions require us to provide you with specific additional information. Please see this page for such additional information if you are in: (I) California; or (II) other specified U.S. states.

1. Some key terms
Any capitalized terms not defined in this Privacy Policy have the meanings in our Terms of Use.

2. How does this Privacy Policy apply?
This Privacy Policy describes what we do with personal information that we collect and use for our own purposes (i.e., where we are a controller), such as Guest and Merchant account information and information about how Guests and Merchants use and interact with our Services, including information Guests and Merchants submit to our customer support. This Privacy Policy does not apply to personal information of our employees or job applicants (except to the extent employees or job applicants are Guests or Merchants).
We use cookies and similar technologies. Cookie Policy describes what we do in that regard.
With respect to personal information in BUY FUTURE's possession, we play a few different roles under global data privacy laws. In order to understand your and BUY FUTURE's obligations, it's important to understand the difference between BUY FUTURE Controlled PI and Merchant Controlled PI.
• “BUY FUTURE Controlled PI” means personal information for which BUY FUTURE determines the purposes and means of processing. This Privacy Policy and this additional information page only address BUY FUTURE Controlled PI.
• “Merchant Controlled PI” means personal information for which a Merchant determines the purposes and means of processing. For Merchant Controlled PI, BUY FUTURE acts as a data processor, service provider or similar term under applicable law. Merchant Controlled PI includes Guest Booking Information (as defined below) and any data or notes entered by a Merchant into the Services about a Guest or their partner or other dining companions, Merchant personnel or other individuals. Merchants tell us what we do with Merchant Controlled PI on our Merchant's instructions. Our Merchants are responsible for ensuring that their collection and processing of Merchant Controlled PI complies with applicable law.
To learn about a Merchant's data practices with respect to Merchant Controlled PI, please visit the applicable Merchant's Merchant Page or website or reach out directly to them.
Please be aware that some personal information in BUY FUTURE's possession is both BUY FUTURE Controlled PI and Merchant Controlled PI. This category of data is “Independently Controlled PI.” See Section 6 for more details.

3. Personal information we collect
We collect various personal information regarding you or your device. This includes the following:
• Information a Guest provides to create an Account or make a Booking, specifically email address, first name, last name and phone number. This information is “Basic Guest Information.” You do not need an Account to browse our Services (including Merchant Pages), but you do need an Account to make a Booking.
• Information a Guest with an Account provides to complete their diner profile on the Services. This optional information is called “Guest Diner Profile Information.” Guest Diner Profile Information includes a photograph, birthday or anniversary details for the Guest and/or their partner and the Guest's hospitality preferences or dietary restrictions.
• Information a Guest provides when they make a Paid Booking. For most Paid Bookings, this will include billing address as well as a portion of payment information which is provided to us from our payment processor (such as the last four digits, the country of issuance and the expiration date of the payment card).
• The emails and other communications that you send us or otherwise contribute, such as customer support inquiries. Please be aware that information on public parts of our sites is available to others.
• Information shared with us about you by an individual who has purchased a Gift Card for you. This information is your name and email address.
• Information shared with us about you by a person or service acting as your concierge to make a Booking on your behalf, or by a Merchant for purposes of making a Booking on your behalf.
• Information you share with us in connection with surveys, contests or promotions.
• Information about individuals who own or work for either Merchants who use the Services or for businesses who may benefit from using the Services.
• Information from your interactions with the Services (including Merchant Pages). This includes: IP addresses, preferences, web pages you visited prior to coming to our sites, information about your browser, network or device (such as browser type and version, operating system, internet service provider, preference settings, unique device IDs and language and other regional settings), information about how you use the Services (such as timestamps, clicks, scrolling, browsing times, searches, transactions, referral pages, load times, and problems you may encounter, such as loading errors).
• Information we get from our partners to support our marketing initiatives, improve our Services and better monitor, manage and measure our ad campaigns, such as details about when Guests or Merchants interact with our Services via a marketing partner or when an advertising partner shows a Guest one of our ads on or via its advertising platform.
• Other information you submit to us directly or through Third Party Services if you use a Third Party Service to make a Booking and/or create an Account (based on your privacy settings with such Third Party Service).

4. How we collect personal information
We obtain personal information from various sources. We do this in three main ways:
• You provide some of it directly (such as by registering for an Account or completing a Guest diner profile).
• We record some of it automatically when you use our Services (including Merchant Pages), including with technologies like cookies.
• We receive some of it from Merchants or other third parties (like from a Third Party Service when a Guest registers for an Account using a Third Party Service or when a Guest makes a Booking through such Third Party Service, from a Merchant or concierge when a Booking is initiated by such Merchant or concierge on your behalf of a Guest or from our payment processor when a Guest makes a Paid Booking or a Merchant purchases a subscription).
We've described this in more detail below.
a. Personal information you provide
When you use our Services, we collect information from you in a number of ways. For instance, we ask you to provide your name, email address and phone number in order to enable you to register and manage your Account. If you elect to provide us with Guest Diner Profile Information, we also collect that information from you. We also collect information about your Bookings and maintain your marketing preferences and the emails and other communications that you send us or otherwise contribute, such as customer support inquiries. You might also provide us with information in other ways, including by responding to surveys, submitting a form or participating in contests or similar promotions.
Sometimes we require you to provide us with information for contractual or legal reasons. For example, we may ask a Guest to provide information involving a chargeback dispute or to provide a mailing address and/or select their jurisdiction when they make a Paid Booking to determine if, and how much, tax we need to collect from the Guest on behalf of a Merchant. We'll normally let you know when information is required, and the consequences of failing to provide it. If you do not provide personal information when requested, you may not be able to use our Services if that information is necessary to provide you with the service or if we are legally required to collect it.
For clarity, a Guest may also provide information directly to a Merchant via the Services. However, such information is Merchant Controlled PI (not the subject of this Privacy Policy), which may include, for example, personal information about a Guest's Merchant-specific experience or preferences, or personal information included in a text message sent by a Guest when a Merchant uses the Services to send a text message to a Guest and the Guest responds.
b. Personal information obtained from your use of our Services
When you use our Services, we collect information about your activity on and interaction with the Services (including Merchant Pages), such as your IP address(es), your device and browser type, the web page you visited before coming to our sites, what pages on our sites you visit and for how long and identifiers associated with your devices. If you've given us permission through your device settings, we may collect your location information in our mobile apps.
Some of this information is collected automatically using cookies and similar technologies when you use our Services (including Merchant Pages). We let our Merchants add cookies and similar technologies provided by Third Party Services with which our Services are integrated to Merchant Pages. You can read more about our use of cookies in our Cookie Policy. Some of this information is similarly collected automatically through your browser or from your device.
c. Personal information obtained from other sources
If you use a Third Party Service to register for an Account, the Third Party Service may provide us with your Third Party Service account information on your behalf, such as your name and email address (we don't collect or store passwords you use to access Third Party Services). If you use a Third Party Service to make a Booking, the Third Party Service will provide us with Basic Guest Information on your behalf. Your privacy settings on the Third Party Service usually control what they share with us. Make sure you are comfortable with what they share by reviewing their privacy policies and, if necessary, modifying your privacy settings directly on the Third Party Service.
If a Guest doesn't have an Account with us, Bookings may sometimes be initiated by a concierge or Merchant on behalf of a Guest. For example, this might happen if you use a concierge or if you call a Merchant or visit a Merchant's location in person. When a concierge- or Merchant-initiated Booking occurs, necessary information is collected by BUY FUTURE in order to facilitate the Booking. For clarity, Merchants may also add Merchant-Controlled PI about a Guest into our Services.
If a Guest makes a Paid Booking or a Merchant purchases a subscription to our Services, we obtain limited information about their payment card from our payment processor, such as the last four digits, the country of issuance and the expiration date. Currently, our payment processors are Braintree and Stripe. Braintree uses and processes your complete payment information in accordance with Braintree's privacy policy. Stripe uses and processes your complete payment information in accordance with Stripe's privacy privacy.

5. How we use your personal information
We use the personal information we obtain about you for the following purposes:
Provision of the Services to you and our Merchants. Create and manage your Account, make Bookings, process payments, respond to your inquiries and enable Merchants to contact you and remember you and your preferences to customize and optimize your experiences.
Communicating with you. Communicate with you, including by sending you emails about your or your business' transactions and Service-related announcements.
Surveys and contests. Administer surveys, contests and other promotions.
Promotion. Promote our Services and send you tailored marketing communications about products, services, offers, programs and promotions of BUY FUTURE and our Merchants and partners and measure the success of those campaigns. For example, we may send different marketing communications to you based on what we think may interest you based on other information we hold about you.
Advertising. Analyze your interactions with our Services and third parties' online services so we can tailor our advertising to what we think will interest you. For example, we may decide not to advertise our Services to you on a social media site if you already have an Account or we may choose to serve you a particular advertisement based on previous Bookings you've made or what we think may interest you based on other information we hold about you.
Customizing the Services. Provide you with customized services. For example, we use your location information to determine your language preferences or display accurate date and time information. We also use cookies and similar technologies for this purpose.
Improving our Services. Analyze and learn about how the Services are accessed and used, evaluate and improve our Services (including by developing new products and services and managing our communications) and monitor and measure the effectiveness of our advertising. We usually do this based on anonymous, pseudonymized or aggregated information which does not identify you directly. For example, if we learn that most Guests or Merchants use a particular integration or feature, we might wish to expand on that integration or feature.
Security. Ensure the security and integrity of our Services.
Third party relationships. Manage our vendor and partner relationships.
Enforcement. Enforce our Terms of Use and other legal terms and policies.
Protection. Protect our and others' interests, rights and property (e.g., to protect our Guests and Merchants from abuse).
Complying with law. Comply with applicable legal requirements, such as tax and other government regulations and industry standards, contracts and law enforcement requests.
We process your personal information for the above purposes when:
Consent. You have consented to the use of your personal information in a particular way. When you consent, you can change your mind at any time.
Performance of a contract. We need your personal information to provide you with services and products requested by you, or to respond to your inquiries. In other words, so we can perform our contract with you or take steps at your request before entering into one. For example, we need your email address so you can sign in to your Account.
Legal obligation. We have a legal obligation to use your personal information, such as to comply with applicable tax and other government regulations or to comply with a court order or binding law enforcement request.
Legitimate interests. We have a legitimate interest in using your personal information. In particular, we have a legitimate interest in the following cases:
      • To operate the BUY FUTURE business and enable our Merchants to utilize the Services to run their businesses.
     • To provide you with tailored advertising and communications to develop and promote our business.
     • To analyze and improve the safety and security of our Services - we do this as it is necessary to pursue our legitimate interests in ensuring BUY FUTURE is secure, such as by implementing and enhancing security measures and protections and protecting against fraud, spam and abuse.
     • To provide and improve the Services, including any personalized services - we do this as it is necessary to pursue our legitimate interests of providing an innovative and tailored offering to Guests and Merchants on a sustained basis.
     • To share your personal information with our affiliates (including ______________________________) that help us provide and improve the Services.
     • To comply with a court order or binding law enforcement request.
     • To anonymize and subsequently use anonymized information.
     • Protecting you and others. To protect your vital interests, or those of others.
     • Others' legitimate interests. Where necessary for the purposes of a third party's legitimate interests, such as our partners who have a legitimate interest in delivering tailored advertising to you and monitoring and measuring its effectiveness or our Merchants who have a legitimate interest in having the Services (including their Merchant Pages) function properly and securely and analyzing the usage of their Merchant Pages so they can understand trends and improve their services.

6. How we share your personal information
We share personal information in the following ways:
Affiliates. We share personal information with our affiliates when it is reasonably necessary or desirable, such as to help provide services to you or analyze and improve the services we or they provide.
Merchants. We share Guest personal information with our Merchants when a Guest visits the Merchant Page of a Merchant or makes a Booking with a Merchant.
     • If a Merchant has configured their Merchant Page to provide analytics to them, including as may be provided by a Third Party Service, the Merchant will receive personal information of visitors to that Merchant Page.
     • When a Guest makes a Booking, we share Guest Booking Information to the Merchant with whom the Guest made the Booking. “Guest Booking Information” means Basic Guest Information and may also include Guest Diner Profile Information.
Business partners. We may share personal information with business partners. For example, we may share your personal information with a business partner when our Services are integrated with their Third Party Services, but only when you have been informed or would otherwise expect such sharing.
Service providers. We share personal information with our service providers that perform services on our behalf. For example, we may use third parties to help us provide customer support, manage our advertisements on other sites, send marketing and other communications on our behalf or assist with data storage.
Process payments. We transmit some of your personal information via an encrypted connection to our payment processor.
Following the law or protecting rights and interests. We disclose your personal information if we determine that such disclosure is reasonably necessary to comply with the law, protect our or others' rights, property or interests (such as enforcing our Terms of Use) or prevent fraud or abuse of BUY FUTURE or our Guests or Merchants. In particular, we may disclose your personal information in response to lawful requests by public authorities, such as to meet national security or law enforcement requirements.
Advertising. We share personal information with third parties so they and we can provide you with tailored advertising and measure and monitor its effectiveness. For example, we may share your pseudonymized email address with a third party social media platform on which we advertise to avoid serving BUY FUTURE ads to people who already use BUY FUTURE.
Business transfers. If we're involved in a reorganization, merger, acquisition or sale of some or all of our assets, your personal information may be transferred as part of that deal or the negotiation of contemplated deals.

7. Your rights and choices
Where applicable law requires (and subject to any relevant exceptions under law), you may have the right to access, update, change or delete personal information.
If you are a Merchant, you can access, update, change or delete Merchant Controlled PI of your Guests directly in your Account.
If you are a Guest:
• You can access, update, change or delete BUY FUTURE Controlled PI either directly in your Account or by contacting us at ________________________ to submit your request.
• You will need to reach out to any Merchants with whom you have made a Booking in order to request they delete any Merchant Controlled PI they hold about you.
• You can also delete your account by following the instructions on this Guest help center page. Please note that we may need to verify your identity in connection with your requests, and such verification process may, if you do not have access to your Account, require you to provide us with additional information we maintain about you to verify your identity. Even if you have access to your Account, we may request additional information if we believe it's necessary to verify your identity. If we are unable to verify your identity or request, we may not, in accordance with applicable law, be able to fulfill your request.
• You can also elect not to receive marketing communications by following the unsubscribe instructions in such communications.
Please note that, for technical reasons, there is likely to be a delay in deleting your personal information from our systems when you ask us to delete it. We also will retain personal information in order to comply with the law, protect our and others' rights, resolve disputes or enforce our legal terms or policies, to the extent permitted under applicable law.
You may have the right to restrict or object to the processing of your personal information or to exercise a right to data portability under applicable law. You also may have the right to lodge a complaint with a competent supervisory authority, subject to applicable law. 8. How we protect your personal information
While no service is completely secure, we have a security team dedicated to keeping personal information safe. We maintain administrative, technical and physical safeguards that are intended to appropriately protect against accidental or unlawful destruction, accidental loss, unauthorized alteration, unauthorized disclosure or access, misuse and any other unlawful form of processing, of the personal information in our possession. We employ security measures such as using firewalls to protect against intruders, building redundancies throughout our network (so that if one server goes down, another can cover for it) and testing for and protecting against network vulnerabilities.

9. How we retain your personal information
We retain personal information regarding you or your use of the Services for as long as your Account is active or for as long as needed to provide you or our Merchants with the Services. We also retain personal information for as long as necessary to achieve the purposes described in this Privacy Policy, for example, to comply with our legal obligations, to protect us in the event of disputes and to enforce our agreements and to protect our and others' interests.
The precise periods for which we keep your personal information vary depending on the nature of the information and why we need it. Factors we consider in determining these periods include the minimum required retention period prescribed by law or recommended as best practice, the period during which a claim can be made with respect to an agreement or other matter, whether the personal information has been aggregated or pseudonymized, and other relevant criteria. For example, the period we keep your email address is connected to how long your Account is active.
You may delete your Account by following the instructions on this Guest help center page and/or by contacting us at ______________________________ and BUY FUTURE will delete the BUY FUTURE Controlled PI it holds about you (unless we need to retain it for the purposes set out in this Privacy Policy). If you are a Guest, you will need to reach out to any Merchants with whom you have made a Booking in order to request they delete any Merchant Controlled PI they hold about you.
Please note that in the course of providing the Services, we collect and maintain aggregated, anonymized or de-personalized information which we may retain indefinitely.

10. Data transfers
Personal information that you submit through the Services may be transferred to countries other than where you live, such as, for example, to our servers in the U.S. We also store personal information locally on the devices you use to access the Services.
Your personal information may be transferred to countries that do not have the same data protection laws as the country in which you initially provided the information. For example, data we store may be accessible to law enforcement and national security authorities under certain circumstances.
We rely upon a number of means to transfer personal information which is subject to: (a) the European General Data Protection Regulation (“GDPR”) in accordance with Chapter V of the GDPR; or (b) applicable UK data privacy laws in accordance therewith. References to GDPR and its provisions include the GDPR as amended and/or incorporated into UK law. These include:
Standard data protection clauses. We transfer, in accordance with Article 46 of the GDPR, personal information to recipients that have entered into the European Commission approved contract for the transfer of personal data outside the European Economic Area (“EEA”). We transfer, in accordance with UK law, personal information to recipients that have entered into the UK Information Commissioner's Office approved international data transfer agreement and the UK addendum to such European Commission approved contract.
Other means. We may, in accordance with Articles 45 and 46 of the GDPR, transfer personal information to recipients that are in a country the European Commission or a European or UK data protection supervisory authority has confirmed, by decision, offers an adequate level of data protection, pursuant to an approved certification mechanism or code of conduct, together with binding, enforceable commitments from the recipient to apply the appropriate safeguards, including as regards data subjects' rights, or to processors which have committed to comply with binding corporate rules.
     • Data Privacy Frameworks. We transfer personal data to the US from, as applicable, the EEA, Switzerland and the UK pursuant to the EU-U.S. Data Privacy Framework, the Swiss-U.S. Data Privacy Framework and the UK Extension to the EU-U.S. Data Privacy Frameworks (each individually and jointly, the “Data Privacy Frameworks”). In accordance with Article 45 of the GDPR, an adequacy decision was adopted for the EU-U.S., Swiss-U.S. and UK Extension to the EU-U.S. Data Privacy Frameworks.

11. Data Privacy Frameworks
BUY FUTURE complies with the Data Privacy Frameworks to provide a legal basis for transfers of personal data to the US from, as applicable, the EEA, Switzerland and the UK. Our affiliate I Develop, Inc. has certified its compliance to the Data Privacy Frameworks, and we are a covered entity under their certification.
I Develop, Inc.'s certification extends to its processing of personal information (received from the EEA, UK and Switzerland under the Data Privacy Frameworks) of the type and for the purposes described in this Privacy Policy. This Privacy Policy also describes the types of third parties to which personal information is disclosed (and the purposes for such), individual's right of access, the choice and means offered to limit the use and disclosure of personal information and that personal information is disclosed in response to legal requests by public authorities where necessary, including to meet national security or law enforcement requirements.

We do not currently recognize or respond to browser-initiated Do Not Track signals.
